Summary

New and growing businesses frequently encounter common legal issues that can
be proactively addressed with greater efficiency early in the life of the
business.  The speakers, both experienced business and intellectual property
attorneys, will cover common legal mistakes and provide some guidelines for
solving easily addressable issues in a timely manner.  

We Will Discuss

1. Business Structure and Entity Formation:  Who will be owners and how will
they own? Is an LLC always the best solution?  What are the differences
among LLCs, corporations (including S corps), and partnerships?  Also:
Business structure issues affecting the hiring of prospective employees.

2.Operating Agreements, Bylaws and Operating Structure:  The importance of
formalizing the operating structure and the consequences of failing to do
so. 

3. Funding Sources:  Bootstrapping vs. loans vs. capital investments - how
do you treat investments and other sources of funds?  

4. Protection of Intellectual Property: What steps should you take to
protect copyrights, trademarks, patents and trade secrets?  Who controls
your intellectual property?  What are your employees' rights in the
company's intellectual property?  When should you register your intellectual
property?  Is intellectual property protected in bankruptcy?  

5. Employment Issues:  Differences between employees and independent
contractors.  Will employees be owners or investors?  Employee-owners with
immediate equity stakes or stock options?  What are the best strategies to
ensure that company personnel work for the company while minimizing the
business risk?
